?Abstract? Since we reform and open to the outside world, the economy of our country keeps growing at the rate of 9% per year. But at the same time, there are more and more commercial immoralities of the leaders that of the state-owned enterprises appear in the media reports. Stay at a good position of economy, we should now consider this phenomenon, that how could we subtle manage these leaders of the state-owned enterprises that master a great deal of resource, and improving their business ethics. According to these questions, I hope via a theoretic analysis, that educe the internal causes of the non commercial activities of these leaders who lead our state-owned enterprises, then according the results we could consider some measure to resolve this phenomenon. Hope this paper could make some benefits for improving the commercial immoralities of these leaders who lead the state-owned enterprises, and also for the work of the correlation departments.On a basis of the fruits of the business ethics at home and abroad, this paper choose the influential theories which theoretical system to be more refined at home and abroad of the ethical decision?making theory to be its analysis tool and theoretical basic. This paper quotes the question of contingent model touched by Jones in theories of the decision-making of ethic as its primary tool, after introduce the question?contingent model?author try to modify the question contingent model use the reinforcement theory in the motivation theory, and add one tache of feedback, so that make this question?contingent model??to be a integrate circular system; the research of the theory more practice; the correlation countermeasures and advices more meaningful in practice. After fix the analysis tool on the question?contingent model??this paper describe the circumstance of work and the actuality of short of business ethics of these leaders of the state-owned enterprises. On this condition, using the question?contingent model??elicit main reasons of commercial immoralities exist in the leaders of the state-owned enterprises.(1)The correlation system is incompletely, lack of efficient mechanism of supervise and inhibit; (2) The leaders of the state-owned enterprises knew few about the business ethics; (3) In the course of change, market economy exist many bugs; (4) Public opinion neglect to supervise the business ethics of these leaders; (5) The tradition culture of china have influence on these leaders; (6) The impact of west culture.The purpose of analysis the question is to solve the question. Using the analyses of the commercial immoralities exist in the leaders of the state-owned enterprises, and combined with the elements of ethical decision-making, we bring forward some measures and advices against the phenomenon of commercial immorality, and hope to be some guidable significance. (1) Consummate the correlation system, and strengthen the restriction in the system; (2) Strengthen the education on business ethics, and exalt the moral attainment of these leaders; (3) Establish the mechanism of public estimate, and strengthen the surveillance of the public opinion; (4) Strengthen the construct of market economy, and consummate the system of market economy; (5) Establish the system of interior supervise against these leaders of the state-owned enterprises; (6) Establish a integrated system of motivation against these leaders.The economy of our country has now in such a stage, that we should to refined restrict and manage the business ethics of these leaders of our state-owned enterprises, avoid the commercial immoralities of them. Only the whole society try hard together, to build the circumstance in which we pay attention to business ethics, honesty and credit, to sufficient exert the surveillance of the public opinion, to consummate legislation and strengthen the construct of socialistic market economy system, can we radically improving the business ethics of these leaders of our state-owned enterprises, and make sure the benefit of our country and society won?t be decreased.
